Terms of Service

These Terms govern your use of nodalo, a canvas for building graph specifications and handing them to AI assistants. By creating an account or using the service you agree to them. If you do not agree, do not use nodalo.

1. Who we are

2. Your account

• You need an account to use the canvas. You must be at least 16 years old, or the age of digital consent in your country if that is higher.
• Provide accurate details and keep your password confidential. Everything that happens under your account is your responsibility.
• One account is for one person. Do not share credentials.
• Tell us promptly at [CONTACT EMAIL] if you suspect unauthorised access.

3. The service

nodalo lets you build graphs of nodes and connections, attach context to them, compile that into a specification, and hand it to an AI assistant of your choice. The service is under active development: features may change, be added or be removed. We will not remove something you rely on without a reasonable effort to tell you first.

nodalo is designed for desktop browsers and is not supported on phones.

4. Your content stays yours

You keep all rights to the graphs, text, files and images you put into nodalo (“Your Content”). You grant us only the narrow licence we need to run the service for you: to store, process, transmit and display Your Content so that you can use nodalo, including delivering it to the AI assistant you connect when you trigger a handoff.

We do not sell Your Content, and we do not use it to train machine-learning models.

You are responsible for having the rights to everything you upload, and for not putting content into nodalo that you are not permitted to share with the third-party services described in section 6.

5. Acceptable use

You agree not to:

• break the law, infringe anyone’s rights, or upload malicious code;
• attempt to access other users’ data, probe or circumvent our security measures, or disrupt the service (including automated request floods);
• resell, rent out or white-label the service without our written agreement;
• upload personal data of others where you have no legal basis to do so.

We may suspend or terminate accounts that violate this section, immediately where the violation is serious.

6. Third-party AI services

nodalo connects to AI services that we do not control. Two things are worth understanding clearly:

• Voice and AI-written definitions run on your own API key, which you enter in the settings. That key stays in your browser and is never sent to our servers. Requests go directly from your browser to the model provider, and that provider’s terms and privacy policy apply to them.
• The handoff makes your synced board available to the AI assistant you connect (for example Claude, ChatGPT, Copilot, Cursor or Codex) through a connector address that acts as a key. Anyone holding that address can read the synced board, so treat it like a password. Once content reaches that assistant, its provider’s terms govern what happens to it.

A synced board stays retrievable through the connector for 30 days, after which it must be synced again.

7. AI output

nodalo helps you write a specification; it does not guarantee what an AI does with it. AI output can be wrong, incomplete or unsuitable for your purpose. Review it before you rely on it, especially for anything with legal, financial, medical or safety consequences. You remain responsible for decisions you make based on that output.

8. Fees

nodalo is currently free to use. Costs you incur with your own AI provider are billed by that provider directly to you. If we introduce paid plans, we will give you notice beforehand and you will never be charged without agreeing first.

9. Availability and termination

We aim to keep nodalo available but do not promise uninterrupted service; maintenance, outages and third-party failures happen. You may stop using nodalo and delete your account at any time. We may suspend or end your access if you breach these Terms, or discontinue the service with reasonable notice — in which case you will have the opportunity to export your graphs.

10. Disclaimers

Except where the law does not allow it, nodalo is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. Nothing here excludes liability that cannot lawfully be excluded, including for fraud, death or personal injury caused by negligence, or statutory consumer rights.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the twelve months before the claim, or [AMOUNT, e.g. USD 100].

12. Indemnification

You agree to indemnify us against claims, losses and reasonable costs arising from your use of the service in breach of these Terms or of applicable law.

13. Changes to these Terms

We may update these Terms. If a change is material, we will notify you by email or in the app before it takes effect. Continuing to use nodalo after that means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of [STATE, e.g. Delaware], United States, without regard to conflict-of-law rules. The courts of [VENUE] have exclusive jurisdiction, except that consumers may also rely on the mandatory law and courts of their country of residence.
